JKC Media LLC works with a Master Service Agreement (MSA), signed at the start of every engagement via a Project Briefing. In plain terms, its main points are:
- Scope: work is defined per engagement in a Project Briefing (Art. 2).
- Payment: Net 30, in USD (Art. 5).
- Ownership: JKC keeps its own pre-existing tools and know-how (Background IP); the client receives the IP made specifically for them (Foreground IP) once fully paid (Art. 7).
- Liability is limited (Art. 11).
- Termination is possible with 30 days’ notice; ending for convenience carries a 25% fee on the remaining engagement (Art. 12).
- Georgia law applies, with AAA arbitration in Atlanta (Art. 21).
- Personal data is handled under the Data Processing Addendum referenced in the MSA.
The full Master Service Agreement is available on request and is signed with every new engagement.
